GIP-80 Update Governance Council

Summary

This proposal recommends updating the composition of the Goldfinch Governance Council by replacing three existing members with new community-aligned representatives. Specifically, it removes two borrower-affiliated seats (Alma and Cauris) and one outdated Community Manager multisig seat, replacing them with three active Goldfinch community contributors.

Motivation

The Governance Council plays a key role in overseeing and validating important protocol operations, including multisig approvals, emergency actions, and other decentralized governance processes. To maintain the integrity and neutrality of this function, Council members must be aligned with the protocol’s long-term success and independent of any current conflicts of interest.

Two current Council members, Gautam Ivatury from Alma and Alexandre Liege from Cauris, are borrower participants who are presently engaged in restructuring and forbearance discussions with the Foundation’s Chief Restructuring Officer. While their prior involvement brought valuable perspective, continued Council participation could create perceived or actual conflicts of interest. Additionally, the existing “Community Manager” seat is currently controlled by a multisig that includes inactive or outdated signers.

To strengthen the alignment and responsiveness of the Council, this proposal seeks to replace these three seats with individuals who are actively engaged in the Goldfinch community today, including Discord moderators and community operations contributors.

This change will ensure that the Governance Council is composed of trusted, independent participants who are actively involved in supporting the ecosystem and can respond quickly to governance matters.

Specification and Requirements

  • Remove the following Governance Council members:
    • Gautam Ivatury
    • Alexandre Liege
    • Community management multisig that was added via GIP-60
  • Add the following Governance Council members, who are currently community moderators:

I support that, especially considering that some of the people currently on the council haven’t exactly shown their best side

Refreshing the Governance Council with active, community - aligned members is a meaningful step toward stronger decentralization and greater accountability. Empowering those who are actively engaged in the ecosystem will only make Goldfinch governance more resilient and responsive.

I will be voting “Yes” on this proposal, as the council in its updated form will consist of members who are genuinely active in the community and meaningfully contribute to the growth of the protocol
